Commercial License Agreement

This software and its source code (the "Software") are licensed by Southeast Buildings, Inc. (the "Licensor"), not sold. By downloading, installing, or using the Software, you ("Licensee") agree to the terms below.

1. Grant of license

Upon purchase of a single license, Licensee is granted a perpetual, worldwide, non-exclusive, non-transferable license to use, modify, and deploy the Software to operate ONE (1) production website marketing and taking bookings for ONE (1) short-term-rental property owned or operated by Licensee. Licensee may run unlimited local, staging, and development copies in support of that one production site.

The license is held by Licensee and is not attached to the property: Licensee may retire the production site for one property and redeploy the Software for a different property Licensee owns or operates, provided the license covers only ONE (1) property in production at any time. The license may not be sold, assigned, or otherwise transferred to any other person or business, including as part of a sale of the property or of the rental business.

2. What you may do

1. Modify the source code freely to build and customize your site.
2. Deploy the resulting site to a hosting provider of your choice.
3. Use the Software to operate a commercial booking business.

3. What you may not do

1. Resell, redistribute, sublicense, rent, lease, or give away the Software or any derivative of it, whether modified or not, as a template, boilerplate, starter kit, or component.
2. Use a single license to operate more than ONE (1) property in production, whether on one website or several. Each additional property requires an additional license.
3. Offer the Software (modified or not) as a hosted product or service whose primary value is the Software itself (e.g. a "build your booking site" SaaS). Operating your own rental booking business is fine; reselling the platform to others is not.
4. Remove or obscure this license from the source distribution.

4. Ownership

The Software is and remains the intellectual property of the copyright holder. This agreement transfers a license to use it, not ownership of it. Your site content, branding, photos, and data remain entirely yours.

5. Third-party components

The Software depends on open-source packages (Next.js, Prisma, Tailwind, and others) distributed under their own licenses, and integrates with third-party services (Cloudflare, Stripe, Resend). Your use of those components and services is governed by their respective terms.

6. No warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

7. Limitation of liability

IN NO EVENT SHALL THE COPYRIGHT HOLDER BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

Licensee is solely responsible for their own legal, tax, payment-processing, and data-protection compliance.

8. Updates & support

The license includes any updates to the Software that the Licensor chooses to make available for re-download through the original purchase. Nothing in this agreement obligates the Licensor to provide updates, maintenance, or support.

9. Termination

This license terminates automatically if Licensee breaches any term. On termination, Licensee must cease use and destroy all copies of the Software, except code already deployed in the one permitted production site, which Licensee may continue to operate if the breach is cured.
